LangXie: I agree with your basic reasoning and analysis. as an ex-entreprenuer myself, I fully understand the dilemma you presented. However, I do not think stock options is a good way to attract and reward right employees. Just like you said, sometimes stock options are used as a gambling tool. Some people use it to make a few quick dollars. I am not sure if you want to recruit people like that if youself is truly convinced about your idea. There is a very good book about stock option: " The Essays of Warrent Buffett: Lessons of Corporate America". If you have sometime, I would strongly recommend this book. As you may already know, Microsoft just changed its policy on employees' stock option. If you really want to make some of key employees owners, just give them stocks. At least in my firm, we want to invest in a business that is solid and sustaintable. We do not invest in high-fliers with expensive valuations. Angel investors and some VCs with focus on early-stage start-ups are always good sources for seed investment money. They are willing to take extra risks for a higher return. But the real start-up money has to come from yourself. Almost in every case I have seen, founders always invested in the company a significant portion of personal wealth. We as VCs definitely like to that showing the entreprenuer's committment to the company. If you are short of capital because of more business than you can handle, please let me know. We would be very happy to solve that problem for you. But if you are short of cash simply because your business are generating enough sales. That would be difficult case for you to convince us why now is a better time for us to put in money. You have to believe me when I say if your idea/company is truly exceptional and you communicate well to us, believe me we would be more than happy to invest. The problem I always encounter with entreprenuers particularly from Chinese community is that they do not understand what makes a great business. Do not start up for the sake of startup. I personally made that mistake and learned a good and hard lesson out of it. Think about three questions before startup: 1) What is the market size? is it big enough for my business? 2) What is my competitive advantages? How do I beat current competitors? How do keep potential competitiors entering the space? 3) what should be the business model and company roadmap for the next three years? I hope this helps and let me know I can be further helpful.
